These Terms of Service (“Terms”) govern your access to and use of the website, services, and content provided by Growtally (“GrowTally,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
“Client” refers to any business, organization, or individual who engages GrowTally’s services. “Services” refers to the social media management, content creation, design, video production, advertising, and related services we provide. “Deliverables” refers to the content and assets we create for you. “Platforms” refers to third-party social media networks such as Instagram, Facebook, TikTok, LinkedIn, YouTube, Pinterest, and Google Business Profile.
GrowTally is a social media management agency that provides done-for-you services including strategy, content creation, graphic design, video production, community management, paid advertising, and performance reporting. The specific scope of your Services will be defined in a separate proposal, quote, or agreement between you and GrowTally. In the event of a conflict between that agreement and these Terms, the specific agreement will prevail.
To deliver our Services effectively, we rely on your cooperation. By engaging GrowTally, you agree to:
Our Services require access to your social media accounts and related tools. You remain the owner of all your accounts at all times. GrowTally operates within the terms and policies of each Platform, but we do not control those Platforms. We are not responsible for changes to Platform algorithms, features, policies, pricing, or for any suspension, restriction, or loss of access imposed by a Platform. [REVIEW]
Content is shared with you for review and approval before publishing, unless you instruct us otherwise in writing. Once you approve content, you accept responsibility for its publication. Where you grant us standing approval to publish without individual sign-off, you accept responsibility for content published under that arrangement.
Upon full payment, ownership of the final Deliverables we create specifically for your brand transfers to you. GrowTally retains ownership of its own pre-existing materials, templates, processes, and know-how. Unless you request otherwise in writing, GrowTally may display work created for you within our portfolio and marketing materials as a demonstration of our services. [REVIEW]
Fees, billing cycles, and scope are set out in your specific agreement. We offer flexible monthly, quarterly, and long-term plans. Payment is due as stated on your invoice or agreement. Late or failed payments may result in a pause or suspension of Services until the balance is settled. All fees are exclusive of any applicable taxes unless stated otherwise.
9. Cancellation and Refunds
Cancellations and refunds are handled on a case-by-case basis. If you wish to cancel or pause your Services, please contact us and we will work with you fairly, taking into account the work already completed and any commitments made on your behalf. Any refund, where granted, reflects the value of work not yet performed.
Both parties agree to keep confidential any non-public business information shared during the engagement. GrowTally will treat your business information, account access, and internal materials with strict confidentiality and will use them only to provide the Services.
Social media growth depends on many factors outside our control, including Platform behavior, market conditions, and audience response. While we apply proven strategies and expertise, GrowTally does not guarantee specific results such as follower counts, engagement rates, leads, sales, or revenue. Any examples or past results shown are illustrative and not a promise of future performance.
To the fullest extent permitted by law, GrowTally shall not be liable for any indirect, incidental, or consequential losses, including loss of profits, revenue, data, or business opportunity, arising from your use of our Services or Platforms. Our total liability for any claim shall not exceed the fees paid by you to GrowTally for the Services giving rise to the claim in the three months preceding it.
You agree to indemnify and hold GrowTally harmless from any claims, damages, or expenses arising from materials you provide, your use of the Deliverables, or your breach of these Terms or of any Platform’s terms.
These Terms apply for the duration of your engagement with GrowTally. Either party may terminate the engagement in line with the notice terms set out in your specific agreement. Sections relating to ownership, confidentiality, liability, and indemnification survive termination.
We may use third-party tools and services to deliver your Services. Your use of those tools may be subject to their own terms, and we are not responsible for their performance, availability, or policies.
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Nigeria. Where you are a consumer or business located in the EU, UK, or another region, mandatory local laws that apply to you are not affected by this clause.
